Terms of Service
The terms that govern your access to and use of Promenaut.

1. Acceptance of Terms
By accessing or using the Promenaut platform and website at promenaut.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
- "Platform" - the Promenaut AI agent orchestration platform, including all features, APIs, and interfaces
- "Workflow" - a configured process that orchestrates AI agents to perform a defined task
- "Agent" - an AI-powered component within the Platform that performs specific tasks using large language models
- "Generated Output" - any code, documentation, analysis, or other content produced by the Platform
- "User Data" - any data, content, or materials you upload, input, or create within the Platform
3. Account Registration
To access certain features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your password and account credentials
- Promptly update your information if it changes
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorised use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
4. Use Licence
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. This licence does not include the right to:
- Sublicense, resell, or redistribute the Service or any part thereof
- Modify, adapt, or create derivative works of the Platform's software
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices or labels on the Service
- Use the Service to build a competing product or service
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Generate or distribute malicious code, malware, or exploits
- Attempt to gain unauthorised access to any systems or networks
- Circumvent or disable any security features of the Service
- Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service beyond what is permitted by the API
6. Generated Content & Intellectual Property
You retain ownership of all User Data you provide to the Service. With respect to Generated Output:
- Your rights - you own the Generated Output produced from your Workflows, subject to any third-party rights in the underlying AI models
- No warranty of uniqueness - Generated Output may contain patterns, structures, or content similar to output generated for other users
- Your responsibility - you are solely responsible for reviewing, testing, and validating all Generated Output before deployment or use in production
- Our rights - we retain all rights to the Platform, its technology, algorithms, and underlying intellectual property
We do not claim ownership of your User Data or Generated Output. We may use anonymised, aggregated data to improve the Service.
7. AI Services & Third-Party Models
The Platform uses large language models from third-party providers including Anthropic (Claude), OpenAI (GPT), and Google (Gemini). You acknowledge that:
- AI-generated content may contain errors, inaccuracies, or biases
- The quality and availability of AI models may vary and are subject to the respective providers' terms
- We do not guarantee the accuracy, completeness, or fitness for purpose of any Generated Output
- You should not rely on Generated Output as a substitute for professional advice (legal, financial, medical, or otherwise)
8. Data Handling
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to:
- The processing of your User Data by AI models for the purpose of generating outputs
- The storage of your data on our cloud infrastructure (AWS, UK and US regions)
- Our data retention practices as described in the Privacy Policy
We implement enterprise-grade security measures to protect your data. For details, see Section 7 of our Privacy Policy.
9. Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice)
- Unplanned outages or technical issues
- Third-party service disruptions (cloud providers, AI model providers)
- Force majeure events beyond our reasonable control
We will make reasonable efforts to minimise downtime and communicate service status through our status page.
10. Fees & Payment
Certain features of the Service may require payment. If applicable:
- Fees are as set out in your subscription agreement or the pricing page
- All fees are exclusive of VAT and applicable taxes unless stated otherwise
- We may change our fees with 30 days' prior written notice
- Non-payment may result in suspension or termination of access
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
- We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Promenaut shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
- Our total aggregate liability shall not exceed the amount you have paid us in the 12 months preceding the claim
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify and hold harmless Promenaut and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service or violation of these Terms
- Your User Data or Generated Output
- Your violation of any third-party rights
13. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Service will cease immediately
- You may request export of your User Data within 30 days
- We will delete your data in accordance with our retention policy
- Provisions that by their nature should survive termination (including limitations of liability, indemnification, and governing law) will continue to apply
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
